Public Offer Agreement

LLC "MOONA SHOP", acting on the basis of the legislation of the Republic of Uzbekistan, hereby makes a public offer to any individual (hereinafter — the Buyer) to enter into a contract for the purchase and delivery of physical goods on the following terms.

This document is a public offer in accordance with Article 369 of the Civil Code of the Republic of Uzbekistan. Full and unconditional acceptance of this offer (acception) is deemed to occur at the moment the Buyer places an order on the website https://moona.shop.

1. Terms and Definitions

1.1. Seller — LLC "MOONA SHOP", the legal entity operating the online store at https://moona.shop.

1.2. Buyer — any individual who has accepted this offer by placing an order on the Website.

1.3. Website — the online store located at https://moona.shop.

1.4. Goods — physical products listed on the Website and available for purchase.

1.5. Order — the Buyer's request to purchase one or more Goods submitted through the Website.

1.6. Offer — this public offer agreement, including all its terms and conditions.

1.7. Acceptance — the Buyer's full and unconditional agreement to the terms of this Offer, expressed by placing an Order.

2. Subject of the Agreement

2.1. The Seller agrees to transfer ownership of the Goods ordered by the Buyer, and the Buyer agrees to accept and pay for the Goods in accordance with the terms of this Offer.

2.2. The Seller guarantees that the Goods are not encumbered by the rights of third parties, are not under arrest, and are not subject to any disputes at the time of sale.

2.3. The range, description, and price of Goods are published on the Website and may be updated by the Seller at any time without prior notice.

3. Order Placement

3.1. The Buyer places an Order independently through the Website by selecting the desired Goods, specifying the delivery address, and completing the checkout process.

3.2. An Order is considered accepted by the Seller upon sending an order confirmation to the Buyer's email address or via SMS.

3.3. The Seller reserves the right to cancel an Order if the selected Goods are out of stock, if the Buyer's contact or delivery information is incorrect or incomplete, or if there are reasonable grounds to suspect fraudulent activity. In such cases, the Buyer will be notified and any payment received will be refunded in full.

3.4. By placing an Order, the Buyer confirms that they are of legal age and have full legal capacity to enter into this Agreement under the laws of the Republic of Uzbekistan.

4. Price and Payment

4.1. The price of each item of Goods is indicated on the Website at the time of Order placement. Prices include applicable taxes unless stated otherwise.

4.2. The total amount payable by the Buyer includes the price of the Goods and, where applicable, the cost of delivery as displayed at checkout.

4.3. Payment must be made in full at the time of Order placement using one of the payment methods available on the Website.

4.4. The Seller does not store the Buyer's payment card details. All payment transactions are processed by certified third-party payment providers.

4.5. The Seller reserves the right to change the prices of Goods at any time. Price changes do not apply to Orders that have already been confirmed.

5. Delivery

5.1. The Seller delivers Goods to the address specified by the Buyer in the Order. The Buyer is solely responsible for providing accurate and complete delivery information.

5.2. Delivery timeframes are estimated and depend on the Buyer's location, the availability of the Goods, and the capacity of the delivery service. The Seller does not guarantee delivery within a specific timeframe unless expressly stated otherwise.

5.3. Delivery costs, if any, are displayed at checkout prior to Order confirmation and form part of the total amount payable.

5.4. Ownership and risk of loss of the Goods pass to the Buyer at the moment of delivery to the address specified in the Order.

5.5. If the Buyer is unavailable at the time of delivery and the courier is unable to hand over the Goods, re-delivery may be arranged. Additional costs arising from failed delivery due to the Buyer's fault may be charged to the Buyer.

5.6. The Seller shall not be liable for delivery delays caused by circumstances beyond its reasonable control, including natural disasters, strikes, actions of government authorities, or disruptions by the delivery carrier.

6. Acceptance of Goods

6.1. Upon receipt of the Goods, the Buyer must inspect them for completeness, quantity, and visible defects.

6.2. If the Buyer identifies any discrepancy or visible damage at the time of delivery, they must note this in the delivery documentation and notify the Seller at info@moona.shop within 48 (forty-eight) hours of receipt.

6.3. Acceptance of the Goods by the Buyer without any written claims constitutes confirmation that the Goods were delivered in proper condition and in accordance with the Order.

7. Returns and Refunds

7.1. The Buyer has the right to return Goods of proper quality within 14 (fourteen) calendar days from the date of receipt, provided that the Goods have not been used, their original appearance and consumer properties are preserved, and all original packaging, labels, and proof of purchase are retained.

7.2. Goods that have been used, damaged through the Buyer's fault, or returned without original packaging will not be accepted for return.

7.3. To initiate a return, the Buyer must contact the Seller at info@moona.shop, providing the Order number and the reason for the return. The Seller will respond with return instructions within 3 (three) business days.

7.4. Upon receipt and inspection of the returned Goods, the Seller will process a refund within 10 (ten) business days using the same payment method used for the original purchase.

7.5. Return shipping costs are borne by the Buyer, except in cases where the return is due to a defect or error on the part of the Seller.

7.6. If the Goods received by the Buyer are defective or do not correspond to the Order, the Seller will arrange a replacement or issue a full refund, including return shipping costs, at no additional charge to the Buyer.

8. Rights and Obligations of the Seller

8.1. The Seller is obliged to:

— Provide accurate and up-to-date information about the Goods on the Website;

— Process and fulfill confirmed Orders within a reasonable time;

— Ensure the proper packaging of Goods to prevent damage during delivery;

— Respond to the Buyer's inquiries and claims in a timely manner;

— Process personal data of the Buyer in accordance with the Privacy Policy published at https://moona.shop/oferta.

8.2. The Seller has the right to:

— Modify the range, descriptions, and prices of Goods without prior notice;

— Refuse or cancel an Order in the cases provided for in these Terms;

— Involve third parties (delivery services, payment processors) in the fulfillment of the Agreement without the Buyer's separate consent.

9. Rights and Obligations of the Buyer

9.1. The Buyer is obliged to:

— Provide accurate personal and delivery information when placing an Order;

— Pay for the Goods in full at the time of Order placement;

— Accept the Goods upon delivery at the specified address;

— Notify the Seller of any defects or discrepancies within the timeframes specified in these Terms.

9.2. The Buyer has the right to:

— Receive complete and accurate information about the Goods before placing an Order;

— Return Goods of proper quality within the timeframe and on the conditions set out in Section 7;

— Receive a refund or replacement for defective Goods;

— Contact the Seller at any time with questions or claims via info@moona.shop.

10. Liability of the Parties

10.1. The Seller shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Website or the Goods, except as required by applicable law.

10.2. The Seller's total liability under this Agreement shall not exceed the amount actually paid by the Buyer for the Goods in question.

10.3. The Buyer is liable for any damages caused to the Seller as a result of providing false information, fraudulent actions, or violations of these Terms.

10.4. Neither party shall be liable for failure to perform obligations if such failure is caused by force majeure circumstances beyond that party's reasonable control, including natural disasters, government actions, fires, floods, or other extraordinary events.

11. Personal Data

11.1. By placing an Order, the Buyer consents to the collection and processing of their personal data (name, email address, phone number, delivery address) for the purposes of Order fulfillment and communication.

11.2. Personal data is processed in accordance with the Privacy Policy of LLC "MOONA SHOP", available at https://moona.shop/oferta.

11.3. The Seller does not transfer the Buyer's personal data to third parties except where required for Order fulfillment (e.g., delivery services) or as mandated by law.

12. Dispute Resolution

12.1. All disputes arising out of or in connection with this Agreement shall first be attempted to be resolved through negotiation. The Buyer may submit a written claim to info@moona.shop.

12.2. The Seller undertakes to respond to any claim within 10 (ten) business days from the date of receipt.

12.3. If the dispute cannot be resolved amicably within 30 (thirty) calendar days, it shall be referred to the competent courts of the Republic of Uzbekistan in accordance with applicable law.

13. Final Provisions

13.1. This Offer enters into force upon publication on the Website and remains valid indefinitely until replaced by a new version.

13.2. The Seller reserves the right to amend this Offer at any time. The updated version takes effect upon publication on the Website. Orders placed prior to such changes remain governed by the version of the Offer in effect at the time of Order placement.

13.3. This Agreement is governed by the legislation of the Republic of Uzbekistan. In all matters not covered by this Offer, the parties shall be guided by applicable law.
